Terms of Service

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.

If you use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Services

RegText provides messaging technology, communications infrastructure, workflow tools, and related software services designed to support communications for regulated industries.

RegText acts solely as a technology provider and does not provide legal, regulatory, compliance, financial, healthcare, or professional advice.

You are solely responsible for determining whether your use of the Services complies with applicable laws, regulations, industry requirements, and internal policies.

3. Customer Responsibilities

You agree that you will:

• Use the Services only for lawful purposes.
• Obtain all required consents before sending messages.
• Comply with TCPA, CAN-SPAM, CTIA guidelines, carrier requirements, privacy laws, healthcare regulations, financial regulations, and all other applicable laws.
• Maintain accurate account information.
• Protect account credentials.
• Promptly notify us of unauthorized account access.

You agree not to:

• Send unlawful, fraudulent, misleading, or deceptive communications.
• Send spam or unauthorized marketing messages.
• Transmit malware, malicious code, or harmful content.
• Use the Services to harass, threaten, or impersonate others.
• Interfere with operation of the Services.
• Reverse engineer, decompile, copy, or attempt to recreate the Services.

4. Account Security

If RegText provides account access credentials, you are responsible for maintaining the confidentiality of those credentials.

You are responsible for all activity occurring under your account, whether authorized or unauthorized.

You must immediately notify RegText of any suspected security incident involving your account.

5. Customer Data

You retain ownership of all data, contact information, message content, and other information submitted through the Services ("Customer Data").

You grant RegText a limited license to host, process, transmit, store, and use Customer Data solely as necessary to provide the Services.

You represent and warrant that:

• You have all rights necessary to provide Customer Data.
• Customer Data does not violate applicable law.
• Customer Data does not infringe any third-party rights.

6. Messaging Compliance

You are solely responsible for:

• Obtaining required recipient consent.
• Managing opt-in and opt-out records.
• Maintaining proof of consent.
• Complying with carrier requirements.
• Complying with messaging regulations.

RegText does not independently verify recipient consent and assumes no responsibility for your compliance obligations.

Message delivery is subject to carrier availability, network conditions, recipient device status, filtering systems, and other factors beyond our control.

We do not guarantee message delivery, delivery timing, or delivery rates.

7. Fees and Payment

If you purchase paid Services, you agree to pay all applicable fees and charges.

Unless otherwise stated in a separate agreement:

• Fees are non-refundable.
• Payments are due according to the applicable invoice or subscription terms.
• Late payments may result in suspension or termination of Services.

8. Intellectual Property

The Services, software, designs, trademarks, logos, documentation, content, and technology are owned by RegText or its licensors and are protected by applicable intellectual property laws.

Except for the limited right to use the Services under these Terms, no ownership rights are transferred to you.

9. Confidentiality

Each party may receive confidential information from the other.

Neither party will disclose confidential information except as necessary to perform its obligations or as required by law.

Confidentiality obligations survive termination of these Terms.

10. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Third-Party Services

The Services may integrate with third-party providers, telecommunications carriers, software vendors, or external services.

RegText is not responsible for the availability, performance, or conduct of third-party providers.

12. Termination

We may suspend or terminate access to the Services at any time if:

• You violate these Terms.
• Your activities create legal or regulatory risk.
• We receive complaints regarding unlawful messaging activity.
• Required by law, regulators, carriers, or industry requirements.

Upon termination, your right to access the Services immediately ends.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGTEXT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, AND ACCURACY.

REGTEXT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY INCIDENTS.

REGTEXT DOES NOT GUARANTEE MESSAGE DELIVERY OR DELIVERY TIMING.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

REGTEXT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

REGTEXT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) FEES PAID BY YOU TO REGTEXT DURING THE SIX MONTHS PRECEDING THE CLAIM; OR

(B) $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless RegText, its affiliates, officers, employees, contractors, and agents from any claims, damages, penalties, fines, investigations, liabilities, costs, or expenses arising from:

• Your use of the Services.
• Your messaging activities.
• Your violation of applicable laws.
• Your violation of these Terms.
• Any claim that Customer Data violates third-party rights.

This indemnification specifically includes claims relating to TCPA violations, privacy violations, unlawful messaging, and recipient complaints arising from your use of the Services.

16. Governing Law

These Terms are governed by the laws of the State of Florida without regard to conflict of law principles.

17. Dispute Resolution

Before filing any legal action, the parties agree to attempt good-faith resolution of any dispute.

Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida, and each party consents to the jurisdiction of those courts.

18. Force Majeure

RegText shall not be liable for delays or failures resulting from causes beyond its reasonable control, including telecommunications failures, carrier outages, internet disruptions, cyberattacks, natural disasters, labor disputes, governmental actions, or acts of God.

19. Changes to These Terms

We may modify these Terms from time to time.

Updated Terms become effective upon posting unless otherwise stated.

Continued use of the Services after modifications constitutes acceptance of the revised Terms.
